Do-Do Terms of Service

1. General provisions

These Terms set out the rules for using the Do-Do app, which works as a progressive web app (PWA) available through a web browser, including the rules for concluding and performing contracts for electronically supplied services and for the Subscription, and the rights and obligations of Users. The Provider's identification details and the meaning of capitalised terms are set out in section 2 (Definitions).

The Terms are made available free of charge before an Account is created, in a form that allows them to be downloaded, saved and printed.

Using the App, including creating an Account, constitutes acceptance of these Terms. The contract for electronically supplied services is concluded when the Account is created and is concluded for an indefinite period.

The rules for processing the personal data of Users and Children are set out in a separate document — the Do-Do Privacy Policy — available in the App and on the website.

2. Definitions

Provider / Service Provider — Biznesteka sp. z o.o. with its registered office in Warsaw, ul. Bluszczańska 65/26, 00-712 Warsaw, Poland, entered in the Register of Entrepreneurs of the Polish National Court Register kept by the District Court for the Capital City of Warsaw, XII Commercial Division of the National Court Register, under KRS number 0000973333, NIP (tax id): 7011089674, REGON: 522119694, share capital: PLN 5,000; e-mail: kontakt@biznesteka.pl, phone: +48 508-034-721 (working days).

Terms — this document.

App / Product / Do-Do — a progressive web app (PWA), available through a web browser, enabling joint management of the care of children.

User / Parent / Guardian — an adult natural person who creates an Account and uses the App and who, when registering or accepting an invitation, declares that they hold parental authority over the Child or are the Child's court-appointed legal guardian.

Other Parent / Co-parent — the other of the Parents/Guardians with access to the same Child Profile.

Account — the User's individual account in the App, created during registration.

Child / Child Profile — a minor whose data is entered into the App by a Parent/Guardian. The Child is not a User, does not create an Account, does not accept the Terms and is not a party to contracts concluded under them.

Cards — entries concerning tasks, expenses and events created by the Parents on the shared board.

Handover — the day of a change of custody of the Child marked in the calendar, with an optional list of items to hand over; messages between the Parents about the Handover are exchanged through ordinary communication (Messages) in the Card.

Event Log — an unmodifiable, append-only record of communication (Messages), financial settlements and the change history of Cards between the Parents, including Cards relating to Handover.

AI Suggestions — an optional App feature, off by default and switched on by the User in Settings, which uses the Claude language model (Anthropic) to fill in Card fields and to generate summaries and suggestions — see section 10.

User Content — any data, messages, Cards, documents, photos and other materials entered into the App by a Parent.

Subscription — paid access to the App's features, comprising a free trial period after the Account is created and then a one-time payment for the access period set out in the price list available in the App at the time of purchase; the Subscription does not renew automatically — see section 7.

Consumer — a User who is a consumer within the meaning of Art. 22¹ of the Polish Civil Code, including a natural person concluding a contract directly connected with their business activity where the content of the contract shows that it is not of a professional nature for that person (Art. 385⁵ of the Polish Civil Code).

Force Majeure — an external event, independent of the parties, which could not have been foreseen or prevented.

GDPR — Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016.

3. Technical requirements and scope of the App's features

Using the App requires: an up-to-date web browser supporting progressive web app (PWA) features, and internet access.

The App includes in particular: a shared alternating custody calendar with Handover days marked, a communication module (Messages), financial settlements between the Parents, the Child Profile, a data export function and AI Suggestions.

The scope and operation of individual features may change as the App develops; the Provider reserves the right to modify features, introduce new ones and withdraw features that are no longer technically or economically justified — while respecting Consumers' rights concerning changes to the Digital Service and to the Terms. The Provider also reserves the right to technical breaks necessary for maintenance, updates or the security of the App.

4. Conditions of use of the App — Parents/Guardians

The App is intended exclusively for adults — creating an Account requires confirmation that the User is an adult. The Provider relies on the User's declaration in this respect and does not carry out additional age verification; if there is a reasonable suspicion that an Account was created by a minor contrary to the declaration made, the Provider may suspend or close that Account.

By creating an Account or accepting an invitation to the Child Profile, the User declares that they hold parental authority over the Child or are the Child's court-appointed legal guardian. The Provider does not formally verify the User's legal title to care for the Child or the legitimacy of the invitation of the Other Parent/Guardian — responsibility for the accuracy of such declaration and for the compatibility of the use of the App with applicable court decisions on parental authority or contact lies solely with the User.

Access to one Child Profile is limited to the two Parents/Guardians indicated when the Account is created and invited by them. The App does not provide for access to the Account by any other third parties.

5. Registration, Account and invitation of the Other Parent

  • An Account is created through the registration form (e-mail address and password) or by signing in with a Google account.
  • The User must provide true data and keep the data enabling login to the Account confidential; the Provider does not store Users' passwords in readable form.
  • Uninstalling the App from a device does not mean deleting the Account.
  • The first Parent inviting the Other Parent/Guardian to the Child Profile sends them the invitation to their e-mail address or as a unique invitation link. In the case of an invitation by e-mail, the invited person is informed of it together with a reference to these Terms and the Privacy Policy — before they create an Account and accept them; where only the invitation link is passed on, the reference to the Terms and the Privacy Policy is given on the invitation acceptance screen, before the Account is created.
  • The Provider may refuse to create an Account or suspend an existing Account if there is a reasonable suspicion of a breach of the Terms, including providing false data or unlawful use of the App.
  • The User may not transfer rights or obligations under the Terms or make their Account available to a third party without the Provider's prior consent — this does not apply to giving the Other Parent/Guardian access to the Child Profile under the rules described in these Terms.

6. Nature of the shared record (Event Log, Cards, Messages)

The App is designed as a shared space for two Parents/Guardians caring for the same Child. Messages, Cards (including those relating to Handover) and settlement entries are saved in the Event Log, which forms the shared history of arrangements between the Parents. This means in particular that:

  • content entered by one Parent becomes part of the shared record available to the Other Parent and cannot be unilaterally changed or deleted in a way that breaches the integrity of the record towards the Other Parent, subject to the rules on closing an Account;
  • every change or addition to the record is logged with the time and the author's identifier and remains historically in the Event Log;
  • this functionality is intended to help the Parents document arrangements concerning the care of the Child — the App does not mediate in resolving the content of those arrangements and does not assess their merits.

When an account is deleted, the Provider sends both Parents information about the possibility of downloading the Event Log and a reminder that the data will be deleted after 12 months.

7. Subscription and payments

  • Using the App's basic features requires an active Subscription. After creating an Account, the User receives a free trial period; after it ends, access to the App's features is blocked until payment for the Subscription is made, without loss of the data saved in the Account and on the shared board.
  • The Subscription is purchased as a one-time payment for the access period set out in the price list available in the App at the time of purchase. Payments are handled by an external payment operator (Przelewy24) and settled directly by the Provider. The Provider does not store the User's payment card data. The online payment service within the Przelewy24 system, including card payments, is provided to the Provider by PayPro S.A. with its registered office in Poznań (ul. Pastelowa 8, 60-198 Poznań, Poland), entered in the Register of Entrepreneurs of the Polish National Court Register under KRS number 0000347935 — a national payment institution supervised by the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego) and entered in the register of payment services under number IP24/2014.
  • The Subscription is assigned to the shared board of the Parents/Guardians using the given Child Profile, not to an individual Account — payment of the Subscription by one of the Parents gives both Parents using that board access to the paid features.
  • The Subscription does not renew automatically — after the paid period ends, access to the App's features is blocked again until the next payment, without loss of saved data.
  • Financial settlements between the Parents (e.g. reimbursement of part of the expenses for the Child) take place exclusively outside the App, directly between the Parents (BLIK, bank transfer). The App allows a Parent to send the Other Parent a request to pay the settlement balance — this function is only a notification/reminder — and records the amounts and status of settlements given by the Parents; the App is not a party to these settlements, does not mediate transfers of funds and is not responsible for them.
  • Prices are given in Polish złoty and include VAT, unless applicable law provides otherwise.

8. Conformity of the Digital Service with the contract, updates and complaints

The App, to the extent of the features covered by the Subscription, is a digital service within the meaning of the Polish Consumer Rights Act of 30 May 2014. The Provider ensures the App's conformity with the contract, in particular in terms of description, functionality, compatibility and interoperability corresponding to these Terms and to the description of the App available on the website (Art. 43k of the Polish Consumer Rights Act).

During the Subscription, the Provider supplies updates, including security updates, necessary to keep the App in conformity with the contract; the User is informed of them in the App.

If the App is not in conformity with the contract, the Consumer has the rights set out in Art. 43k–43q of the Polish Consumer Rights Act — in particular the right to demand that the App be brought into conformity with the contract and, where this is impossible or would require excessive costs, the right to demand a reduction of the Subscription price for the period of non-conformity or to withdraw from the contract. The Provider is liable for non-conformity existing when the App was supplied and revealed within two years of that time.

Complaints concerning non-conformity of the App with the contract and other complaints concerning the operation of the App or the Subscription may be sent to kontakt@biznesteka.pl, with a description of the problem and data enabling identification of the Account. The Provider handles the complaint and responds within 14 days of receiving it.

9. Right of withdrawal

  • A User who is a Consumer has the right to withdraw from the distance contract for the Subscription without giving reasons within 14 days of its conclusion — in accordance with the Polish Consumer Rights Act of 30 May 2014.
  • The right of withdrawal does not apply if the Provider has fully performed the digital service and the User, before performance, expressly consented to the start of performance before the end of the withdrawal period and acknowledged the loss of the right of withdrawal (Art. 38(13) of the Polish Consumer Rights Act).
  • The withdrawal statement may be made using the template in Annex 1 to the Terms or in another unequivocal written form, sent to kontakt@biznesteka.pl.
  • In the event of effective withdrawal, the Provider refunds the payment received within 14 days of receiving the statement, using the same payment method used by the User, unless the User has agreed to another method of refund.
  • The above rules apply to all Subscriptions settled directly by the Provider through Przelewy24.

10. AI Suggestions

AI Suggestions is an optional App feature, off by default, which the User may switch on in the Account Settings. Once switched on, AI Suggestions use the Claude language model, provided by Anthropic, to fill in Card fields based on text typed or dictated by the User (e.g. title, date, amount), and to generate a daily summary of the shared board and suggestions when dates clash. AI Suggestions only propose content for fields, summaries or suggestions — they do not save any data on their own; saving a Card or any change requires a separate action by the User. The detailed rules for data processing within AI Suggestions, including the legal basis and the scope of data transferred, are set out in the Privacy Policy.

Confirmations and information displayed within AI Suggestions do not constitute legal, financial, medical or psychological advice and do not replace consultation with an appropriate specialist. The User is responsible for the content of the data they enter and for saving content proposed by AI Suggestions — the Provider is not responsible for the consequences of the User's use of content proposed by AI Suggestions.

AI Suggestions use language models which — despite reasonable care — may generate imprecise or incorrect content. The Provider encourages verifying important information before using it.

The User can use the App without switching on AI Suggestions, entering data in basic mode (forms/manual entry).

11. Data export and "Legal record (PDF)"

The App provides export tools in the Account Settings, described in detail in the Privacy Policy, including the "Download legal record (PDF)" function, which allows the full shared history of the Cards and messages of both Parents to be exported for disputes or proceedings concerning the care of the Child.

The export is generated independently, on request and under the control of the Parent who orders it. The Provider provides only the technical export function — it does not verify or certify the authenticity or completeness of the exported data and is not responsible for how the Parent further uses it, including passing it on to a third party (court, mediator, legal representative, specialist).

The exported record reflects the content of the shared history of Cards, including deleted Cards, and messages saved in the unmodifiable Event Log at the time the export is generated, which is not a guarantee of its admission as evidence in particular proceedings — that is decided by the court or other authority conducting the proceedings. The Provider may introduce additional mechanisms for verifying the authenticity of the exported file (e.g. a checksum), of which it will inform Users in the App.

12. Rules for disputes concerning the Child's data and content

  • The rights concerning the Child's data and content are exercised on the Child's behalf by each of the Parents/Guardians as legal representative; both Parents in principle have equal rights to view and edit the shared data and content concerning the Child.
  • The Provider does not resolve parental disputes about the scope or manner of using the App, including the content or deletion of Cards, messages or other entries concerning the Child. In the case of conflicting requests from the two Parents, the Provider refrains from carrying out the disputed request until the Parents reach an amicable agreement or a decision of a court or mediator is presented, unless the law requires immediate action.
  • If the Provider is presented with a final court decision governing parental authority or contact, the Provider will take its content into account when handling requests concerning the Account or the Child's data, within the technical capabilities of the App.
  • If a Parent/Guardian presents the Provider with a final court decision restricting or depriving the Other Parent of parental authority, prohibiting contact with the Child, or a decision or other legal title prohibiting the Other Parent from approaching or contacting (e.g. a restraining order, a preventive measure, a court security measure), the Provider will suspend that Other Parent's access to the Account in full, within a reasonable time after verifying the document — because it is not technically possible to restrict access only to the extent resulting from the content of the document presented. In situations indicating a direct threat to the safety of the Child or a Parent, the Provider may temporarily suspend access on the basis of a credibly substantiated report, before full verification of the document, informing the reporting Parent.
  • The Provider verifies only whether the document presented appears authentic and final (without examining the merits of the court's decision) and acts in good faith on its basis — it is not liable for the consequences of acting in accordance with a document that proves to be untrue, outdated or set aside, unless it knew or could have known of that circumstance. A Parent whose access has been suspended may challenge the suspension only through appropriate proceedings before the court competent in family and guardianship matters, and not by way of claims against the Provider.
  • Entries saved in the Event Log remain unmodifiable and are not deleted at the request of only one of the Parents — the rules for deleting all data after both Parents have closed their Accounts are set out in the Privacy Policy.

13. Closing an Account and keeping content after it is closed

The User may at any time initiate the closing of their Account in the Account Settings or by contacting the Provider.

Given the jointly created nature of the data on the shared board, the closing of an Account by one Parent does not delete content on which the Other Parent still relies. The detailed rules — including the anonymisation of Cards and messages (removal of authorship marking) and the permanent deletion of the authentication account itself — are set out in the Privacy Policy; the Terms apply these rules accordingly as a condition of providing the service.

The closing of an Account by one of the Parents does not end an active Subscription assigned to the shared board — the Subscription remains active for the Other Parent until the end of the paid period, in accordance with § 7. Closing an Account does not entail a refund of a proportional part of the fee for the unused period, unless the provisions on the right of withdrawal or on the conformity of the Digital Service with the contract provide otherwise.

The Provider may also close a User's Account for important reasons, in accordance with the rules described in the Terms.

14. Intellectual property and licence to User Content

The App, its code, graphic design, the "Do-Do" trademarks and other elements created by the Provider are its intellectual property and are protected by copyright and industrial property law. The User is granted a non-exclusive, non-transferable licence to use the App for their own non-commercial needs related to the care of the Child — without the right to copy, decompile, modify or further distribute the App's code or content.

User Content remains the property of the Parent who entered it or of a third party entitled to that content. By entering User Content, the Parent grants the Provider a non-exclusive, free-of-charge licence to store, process and make it available to the Other Parent to the extent necessary to provide the App's services.

The Parent is responsible for the lawfulness of the User Content they enter into the App, including respecting the rights of third parties (e.g. copyright in uploaded photos or documents).

15. Prohibited activities

In particular, the following is prohibited:

  • entering unlawful content into the App, including content infringing the rights of third parties;
  • taking actions aimed at circumventing the App's technical safeguards, including the unmodifiability of the Event Log;
  • using the Account contrary to its purpose, including giving login data to unauthorised persons or impersonating another Parent/Guardian;
  • automated downloading (scraping) of data from the App without the Provider's consent.

A breach of the above rules may be grounds for suspending or closing the Account, regardless of liability under the law, including criminal law.

16. Provider's liability

The Provider exercises due diligence to ensure the proper and uninterrupted operation of the App, but cannot guarantee completely uninterrupted and error-free operation. Because the App supports the coordination of the care of the Child, including arrangements on handover dates, the Provider recommends that the Parents do not rely solely on the App in urgent matters or matters subject to a deadline resulting from a court decision, and, where necessary, also confirm such arrangements through another, independent communication channel.

The Provider is not a party to the relationship between the Parents/Guardians and is not responsible for the content, truthfulness or consequences of the User Content exchanged between them through the App, including the manner of caring for the Child or the course of financial settlements between the Parents.

The App is not a substitute for legal advice, family mediation or a court decision — in matters of parental authority, contact or other guardianship matters, only a court or other competent authority decides.

The Provider's liability towards a User who is not a Consumer is limited to the damage actually suffered, excluding lost profits, and in total does not exceed the fees paid by that User for the Subscription in the 12 months preceding the event causing the damage — to the extent permitted by law. Towards Consumers, the Provider's liability is not excluded or limited to the extent that this would be inconsistent with consumer protection law, including the rules on the conformity of the Digital Service with the contract.

17. Force majeure

The Provider is not liable for non-performance or improper performance of obligations under the Terms if this is caused by Force Majeure, including in particular natural disasters, failures of telecommunications or energy infrastructure independent of the Provider, actions of public authorities, mass cyber-attacks or armed conflicts. The Provider informs Users of the occurrence of Force Majeure within 7 days of its occurrence, where possible.

18. Termination of the contract by the Provider

The Provider may suspend or close a User's Account for important reasons, in particular in the case of: a gross breach of the Terms, including the prohibited activities described in the Terms; lack of payment for an active Subscription; providing false data during registration; actions threatening the security of the App or other Users.

Closing the Account of one of the Parents for the reasons set out in this section results in that Parent losing access to the App, but does not affect the Other Parent's access to the shared record or the data retention rules described in the Terms.

Where possible, the Provider informs the User of the reasons for suspending or closing the Account, unless the law or security considerations prevent it.

19. Test phase (beta)

If the App or selected features (including AI Suggestions) are made available to a User as part of a test phase (beta), the following additional rules apply: features may be unstable or change without prior notice; the Provider may end the test phase at any time; if the test phase ends without the App moving to a production version, testers' data will be deleted within 30 days of the end of testing, of which testers will be informed in advance electronically — regardless of the rules on closing an Account described in the Terms.

20. Out-of-court resolution of consumer disputes

A User who is a Consumer may use out-of-court methods of handling complaints and pursuing claims, including contacting the competent provincial inspector of the Polish Trade Inspection, a permanent consumer arbitration court at the Trade Inspection, or a district/municipal consumer ombudsman. Information on out-of-court dispute resolution is available on the website of the Polish Office of Competition and Consumer Protection (uokik.gov.pl).

21. Changes to the Terms

The Provider may change the Terms for important reasons, in particular in connection with changes in the law, the development of the App's features, changes in the technical conditions of providing the services or case law affecting their content. Users will be informed of changes to the Terms electronically, reasonably in advance, before they take effect. A User who does not accept the changes may close their Account before they take effect — continued use of the App after the changes take effect means their acceptance.

If a change to the Terms involves a significant change to the App's features as a Digital Service that is unfavourable to the Consumer (Art. 43p–43q of the Polish Consumer Rights Act), the Provider will inform the Consumer at least 30 days in advance on a durable medium (e.g. by e-mail). In that case the Consumer has the right to terminate the Subscription contract without notice within 30 days of the change or of being informed of it, if that was later — unless the Provider allows the Consumer to keep, at no additional cost, access to the App in accordance with the contract as before the change.

If the Provider decides to stop providing the services within the App entirely (closing the App), it will inform Users at least 60 days in advance electronically, providing during that period the possibility of a free, full export of data from the App. Ceasing to provide the services within the App results in the termination of the contracts with all Users at the end of that period, without the Provider having to make separate statements to each User.

22. Personal data protection

The rules for processing the personal data of Users and Children are set out in a separate document — the Do-Do Privacy Policy, available in the App and on the website. Providing personal data is voluntary but necessary to conclude and perform the contract for the App's services to the extent described in the Privacy Policy.

23. Governing law, courts and final provisions

The Terms and the contracts concluded under them are governed by Polish law and are drawn up in Polish. Any versions of the Terms in other languages are for support/information purposes only — in the event of discrepancies, the Polish version prevails.

Disputes arising from the use of the App by a User who is not a Consumer are resolved by the court competent for the Provider's registered office. For Consumers, the competent court is determined under the general rules, preserving their right to choose the court competent for their place of residence. These Terms do not resolve matters of parental authority, contact or other guardianship matters between the Parents — these fall within the exclusive competence of the family and guardianship courts.

If any provision of the Terms is found to be invalid or ineffective, the remaining provisions remain valid; the invalid provision is replaced by the provision closest to its economic purpose.

The Terms enter into force on the date indicated on their first page.
